LEGAL COUNSEL – VOLVO FINANCIAL SERVICES

 Position code: M-1823 Deadline: March 08th, 2013  Requirements/Competencies and Skills: University degree in law; Currently licensed in Brazilian Bar Association (OAB) to actively practice law and in good standing; Experience of work in equipment leasing, financing and commercial transactions, preferably in a large firm practice, finance boutique, bank and/or captive; Bankruptcy, litigation and credit recovery experience required; Central Bank, Finame, Consortium and other regulatory experience required; Direct working knowledge and expertise in dealer lending, inventory finance in the bus, construction equipment and trucking sectors transactions; Direct work experience in negotiating and documenting middle market transactions and restructurings; Proven experience developing and implementing and training personnel on legal policies for a commercial financial services company preferred; Ability to provide alternative legal strategies and structures; Significant capital markets experience, including syndications, letters of guarantees and 2nd tier loans; Experience supervising and directing external attorneys representing an  organization; Established written, verbal and interpersonal communication skills required at the highest level; A proactive approach to work; Ability to coordinate and organize multiple transactions and deadlines; Good business judgment and decision making abilities; Strategic support of new programs and products; Experience dealing with Trade Associations Demonstrated experience in Microsoft Office, particularly Microsoft Word; Fluency in English, Portuguese and Spanish; The position will reports directly to the President of VFS Brazil & Chile, based in Curitiba,  Brazil. Main Activities: Provides legal support and leadership for the structuring of transactions and  litigation/bankruptcy oversight; Works with sales, operations, and credit functions in developing and implementing necessary legal policies and documentation for commercial truck, tractor, trailer, construction equipment, bus,  motor home, other specialized transportation and commercial equipment financing products in Brazil; Negotiates and documents a variety of financing and leasing transactions; Performs general corporate work, such as vendor contracts; Participates in special projects and product supervision as business developments occur; Maintains communication and coordination with other internal departments; Oversees tax, labor litigation, and statutory matters; Executes other duties and responsibilities as determined by business needs; Be a member of VFS Brazil Management Team and participate in Regional Americas initiatives.
